Standard Trading Conditions

Effective Date: May 2026. These Standard Trading Conditions govern all operations, shipping contracts, custom brokerages, and logistics services undertaken by KILFAD Logistics.

1. Definitions & Application

In these Conditions, the following words have the following meanings:

  • "Company" refers directly to KILFAD Logistics (Formerly EFS Company Ltd) and all its fully-owned Saudi gateways, subsidiaries, and localized operational branches.
  • "Customer" means any legal person, corporate entity, or private partner at whose request or on whose behalf the Company undertakes any business, freight forwarding, customs clearance, or advisory services.
  • "Goods" means any cargo, containerized freight, industrial machinery, vehicles, packages, or baggage handled or cleared by the Company.

2. Company as agent & Principal

The Company acts as an agent in contracting services with ocean liner operators, airline cargo departments, local trucking fleets, and port warehouses. The Company reserves the complete right to perform any or all logistics operations itself or delegate to licensed subcontractors subject to Saudi transport laws.

3. Customer Obligations & Warranties

The Customer explicitly warrants that:

  • The description, values, weight, and particulars of any Goods supplied for shipping are fully accurate and clear of illegal items.
  • All Goods are packed, labeled, stowed, and marked in compliance with international sea/air guidelines and Saudi customs regulations.
  • They will compensate and hold the Company clear from all liabilities, customs penalties, duties, or storage taxes arising out of inaccurate cargo descriptions.

4. Rates, Payments & Customs Duties

All price quotes, bids, and logistics rates issued by the Company are subject to currency swings, terminal changes, ocean freight surcharges, and local port increases. The Customer remains solely responsible for immediately settling all freight charges, demurrage, Saudi import duties, or customs clearings without any deduction or offset.

5. Liability & Claims Limitations

Unless explicitly agreed in writing prior to cargo collection, the Company is not liable for indirect losses, operational delays, custom cargo seizures, or acts of force majeure. All claims for cargo losses, damages, or discrepancies must be filed in writing within 7 calendar days of delivery at the specified Saudi gateway.

6. Governing Law & Jurisdiction

These Standard Trading Conditions and all logistics contracts executed by KILFAD Logistics shall be governed and interpreted solely in accordance with the laws, executive logistics decrees, and commercial regulations of the **Kingdom of Saudi Arabia**. Any disputes shall be submitted exclusively to the competent courts of Jeddah.
